Standard Terms and Conditions

PRICING: Any estimates provided shall remain valid for a period of 30 days following the date of issuance. Just LED + Lights Inc. reserves the right to modify prices at any time without prior notification.

FREIGHT TERMS AND SHIPMENTS: Just LED + Lights Inc. reserves the right to make shipments only to a purchaser’s listed business address. We retain the right to select the freight carrier for all shipments unless otherwise agreed prior to dispatch. Ownership and risk of loss transfer to the purchaser upon carrier handover. Shipping charges will be applied to the final balance post the initial deposit, unless specified in the initial invoice. Shipping cost estimates are available upon request before order confirmation

PAYMENT: Any and all payment shall be made out to Just LED + Lights Inc. and delivered to its offices located at 501 E Gutierrez St in Santa Barbara, CA 93103.

PAYMENT TERMS: Acceptable payment methods include cash, personal checks, major credit/debit cards (subject to a 3% processing fee if greater than $2000), bank wire transfers, and ACH payments. Our payment conditions are as follows:

  • 50% Deposit + 50% Once Invoiced: Balance Due Before Shipping: A 50% deposit is required with remaining balance due upon receipt of final invoice. A notification and an invoice will be issued when the materials are ready for dispatch.
  • Prepay: Orders must be paid in full before processing.
  • NET 30: Payment is due within 30 calendar days post product shipment.

Should there be an outstanding balance post-delivery, a late fee of 3% per day on the overdue amount will be imposed. Sixty days post-balance invoice, Just LED + Lights Inc. may engage collection agencies or initiate Small Claims Court proceedings to recover unpaid funds, where the customer will be responsible for any associated administrative and/or legal costs.

ORDER CANCELLATIONS: Orders for standard product may be cancelled by customer only upon payment of all expenses already incurred and committed by Just LED + Lights Inc. Post-shipment cancellation of standard products will incur a restocking fee of 35% to 100%, plus return shipping charges. Contract manufactured items, custom orders, and special items are non-cancellable and non-refundable. Purchase Orders lacking a 50% deposit within 30 days will be annulled.

IT IS THE RESPONSIBILTY OF THE BUYER TO REVIEW SPECIFICATION SHEETS, SUBMITTALS, PART NUMBERS AND QUANTITIES PRIOR TO ORDERING. PROVIDING A PURCHASE ORDER, DEPOSIT, OR PREPAYMENT SIGNIFIES COMPLIANCE WITH THIS VERIFICATION, AND JUST LED + LIGHTS INC. MAY, AT ITS DISCRETION, LIMIT RETURNS OR CANCELLATIONS.

CLAIMS FOR DAMAGES, SHORTAGES, AND BREAKAGES: All claims for damage, breakages, or shortages whether obvious or concealed must be reported to the freight carrier immediately. Claims of shortages must be relayed to Just LED + Lights Inc. within 48 hours of receipt.

LEAD TIMES: Any time quoted by Just LED + Lights Inc. for delivery is an estimate only. Seller is not liable for or in respect of any loss or damage arising from any delay in filling any order, failure to deliver or delay in delivery. Lead times are subject to variation based on item/component availability and are extended for items that are custom-made or manufactured upon order. Product availability may change between the quoting and order confirmation/payment receipt stages. Consult with a Sales Representative for accurate lead time estimations.

THE PURCHASER SHALL BEAR THE RESPONSIBILITY TO CLEARLY IDENTIFY AND COMMUNICATE ANY SPECIFIC DELIVERY DATES THAT MUST BE MET BEFORE FINALIZING THE PURCHASE.

RETURN MERCHANDISE: No goods may be returned without prior return authorization. Requests for returns of product must be submitted to your sales representative in writing. Upon receipt of RMA number, please pack merchandise carefully and indicate the RMA number on the carton. Materials accepted by Just LED + Lights for return, subject to minimum 35% and up to 100% restocking fee and subject to return freight charge, except on goods considered by the manufacturer to be defective in material and workmanship. Custom order items are non-refundable. Unauthorized returns or freight collect returns will be refused. No authorization will be granted for return of product after 30 days of purchase date, except on products considered by the manufacturer to be defective in material and workmanship.

WARRANTY: Just LED + Lights Inc. extends manufacturer warranty to the first non-dealer purchaser of any of its products that they are to be free from defects in material and workmanship for a period of one-year from the date of installation or substantial completion for all indoor products. For outdoor products: electrical apparatuses, including LED components and outdoor painted finishes are warranted for one-year. Although, Just LED + Lights Inc. uses the best available materials and does extensive in-house testing for finish durability, some fading, or chalking may occur and is considered normal. For coastal locations, some corrosion and or weakening is considered “normal wear” in this environment. Therefore, any finish claim due to coastal environmental conditions is not applicable to our warranty. If a product is defective, all efforts will be made to correct the problem in the field. If the problem cannot be resolved, an RMA will be issued. Just LED + Lights Inc. obligation is expressly limited to repair or replacement without charge, at Just LED + Lights Inc. factory after prior written return authorization has been granted. Just LED + Lights Inc. obligation under this warranty shall not extend beyond the distributor’s initial purchase price of the product and accordingly any extensive damages or labor costs arising out of a defect are expressly excluded. This warranty shall not apply to products that have been altered, mishandled, improperly installed or misused. Notice of a defect in writing must be received by Just LED + Lights Inc. within one-year from the date of receipt. Excluded from the one-year warranty are all light bulbs, which are warranted to perform satisfactorily to the industry standard burning hours rating, but in no event shall such warranty exceed one year from the date an account purchases product that includes light bulbs from Just LED + Lights Inc.

Goods sold by Just LED + Lights Inc. are products from reputable manufacturers and are marketed under their respective trademarks and subject to their terms and warranty. The Seller commits to facilitating the repair or replacement of products found defective in terms of material, design, or workmanship, in line with the relevant manufacturer’s guarantee, details of which are available upon request. This constitutes the Buyer’s exclusive recourse and the Seller’s only obligation. The Seller expressly disclaims all warranties, whether express or implied, including any related to marketability or suitability for a particular purpose. The Seller bears no liability for any extraordinary, indirect, incidental, punitive, or consequential damages resulting from the use of or dealings in these products, including but not limited to lost profits or the costs associated with substitute goods. The Seller’s total liability for any and all claims shall not surpass the purchase price of the products or services that are the basis of the claim. The Seller also disclaims any responsibility for unrequested advice or services provided. If the Buyer subsequently sells or leases the products to a third party, the Buyer agrees to indemnify and protect the seller and its suppliers from any related claims.

ENGINEERING CHANGES: Just LED + Lights Inc. retains the right to modify the design of our products at any time as part of the company`s continuous improvement program.

ATTORNEY FEES: If any legal action is commenced to interpret, enforce, or recover damages for the breach of any term of this Agreement, the prevailing party shall be entitled to recover reasonable attorney’s fees incurred in connection with that action, in addition to costs of suit.

JURISDICTION/VENUE: This Agreement shall be interpreted in accordance with the laws of the State of California. Any action shall be filed in the Superior Court for the County of Santa Barbara, California
